02Description of Service

HEATINC Marketplace is an online platform that connects music producers with artists and buyers. The Service allows:

• Producers to upload, showcase, and sell their music tracks and beats
• Buyers to browse, preview, purchase, and download music tracks
• Users to manage their purchases and sales through a dashboard

03User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

04Producer Obligations

If you are selling music on the platform, you agree that:

• You own all rights to the music you upload or have obtained necessary licenses
• Your content does not infringe on any third-party intellectual property rights
• You will provide accurate information about licensing terms
• You are responsible for paying applicable taxes on your earnings
• HEATINC will retain a 10% platform fee on all sales

05Buyer Rights and License

When you purchase a track, you receive a license to use the music as specified by the producer. License types may include:

• Basic License: Non-exclusive rights for personal or commercial projects
• Premium License: Enhanced rights with fewer restrictions
• Exclusive License: Exclusive ownership rights (track removed from marketplace)

The specific terms of your license will be provided with each purchase. You agree to use purchased music only within the scope of your license.

06Payments and Fees

All payments are processed via bank transfer (UnionBank QR Code). By making a purchase, you agree to:

• Provide valid payment information
• Pay all applicable fees and taxes
• Understand that all sales are final unless otherwise specified
• Accept that platform fees (10%) are non-refundable

07Payouts to Producers

Producers can request payouts of their earnings. Payout terms:

• Minimum payout threshold must be met (as specified in producer dashboard)
• Payouts are processed after admin verification
• Processing time may take 5-10 business days
• You must provide valid payment details for disbursement
• You are responsible for any fees charged by your bank or payment provider

08Prohibited Activities

You agree NOT to:

• Upload content you do not have rights to
• Infringe on intellectual property rights of others
• Engage in fraudulent activities or payment manipulation
• Share purchased tracks beyond your license terms
• Attempt to bypass security features or rate limits
• Use automated systems to scrape or download content
• Harass, abuse, or harm other users
• Upload malicious code or viruses

09Intellectual Property

The Service itself, including all software, design, text, graphics, and other content (excluding user-uploaded music), is owned by HEATINC and protected by copyright and other intellectual property laws. Users retain ownership of their uploaded music but grant HEATINC a license to display and distribute it through the platform.

10Content Moderation

We reserve the right to remove any content that violates these Terms, infringes on rights of others, or is otherwise objectionable. We may suspend or terminate accounts that repeatedly violate our policies.

11Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Uninterrupted or error-free operation
• That defects will be corrected
• The accuracy or reliability of user-uploaded content
• That the Service will meet your specific requirements

12Limitation of Liability

HEATINC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service. Our total liability shall not exceed the amount you paid to us in the past 12 months.

13Indemnification

You agree to indemnify and hold HEATINC harmless from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or your use of the Service.

14Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the laws of the Philippines. You waive any right to participate in a class action lawsuit.

15Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
